Camperdown police said the crash occurred when the driver, an Ararat man in his 30s, lost control at about 7pm near Leslie Manor.
He drifted into gravel, veered and fishtailed before the vehicle rolled about half-a-dozen times.
Police believe the driver was thrown from the vehicle.
His condition was stabilised and he was flown via ambulance helicopter to Melbourne with internal injuries.
The passenger, a Learmonth man in his 20s, was taken to a Geelong hospital as a precaution, suffering head and neck injuries.
Police said the men had been working to slash grass on the side of the road in the Camperdown area.
They were travelling to their workplace to get another vehicle when the crash occurred.
It was the Learmonth man's first day on the job.
